Description:	Hi, We need to make some modification for a project. We need to make some change in a module, you will need to resize the project, you will need to place some text. We also need to make correction into the home page, we need a player that will play a mp3 for the site, the site is bilinguale. If you could fine a way to never change or deleted this in the home page it would be appreciated. The winner accept to make two other change in the other project we post. **** By posting a PM saying "I agree to the Slar-International FREELANCER'S AGREEMENT" trough www.getafreelancer.com in the project name Joomla project modification and all other project accept by you in the past, you agree to execute this Agreement. Slar-International FREELANCER'S AGREEMENT This Freelancer's Agreement ("Agreement") is made and entered into as of the 30 day of janurary, 2007 (the "Effective Date") by and between Slar- International, having a place of business at135 Monnier, St-Lin-Laurentides, Quebec/Canada ("Slar-International") and Alfy Studio, Egypt, Port-Said (" Freelancer"). 1. Work. Freelancer agrees to produce written materials such as text and articles or moving images, still images, photographs, art, illustrations, artwork, music or graphics (the "Work") at the request of Slar-International for fees agreed upon in advance and turn in or deliver the Work by an agreed upon deadline. Freelancer agrees that he/she will be the sole author of the Work, which will be original work by Freelancer, free of plagiarism. Freelancer agrees to use reasonable care to ensure that all facts and statements in the Work are true and that the Work does not infringe upon any copyright, right of privacy, proprietary right, right of publicity or any other right of a third party. Freelancer agrees that Slar-International has the right to edit the Work as it deems appropriate for publication, and that Freelancer will cooperate with Slar-International in editing and otherwise reviewing the Work prior to publication. Freelancer will cooperate with Slar-International if any complaints, claims or litigation should arise regarding the Work. 2. Intellectual Property Rights. The parties acknowledge and agree that Freelancer shall leave all rights, title and interest throughout the Universe in and to Slar-International. Freelancer hereby grants to Slar- International an irrevocable, royalty-free, transferable, non-exclusive license to (a) publish, republish and distribute directly and indirectly the Work, (b) to make or have made and own enhancements, derivative works and other modifications to all or any part of the Work ("Derivatives"), and (c) to use, adapt, modify, perform, transmit or reproduce the Work and Derivatives in any form or medium, whether now or hereafter known, throughout the Universe, including, without limitation, compilation, microfilm, databases, and any digital format in any medium, and to transfer or sublicense any of the publication rights to any entity. Notwithstanding this grant of rights, Freelancer agrees not to directly or indirectly republish the Work or any materials provided by Slar-International in any form or medium. 3. Term. The term of this Agreement shall commence as of the Effective Date and shall expire as of the latter of the last day of the last day of the period wherein Freelancer was retained by Slar-International (whether as an employee, consultant, independent contractor, agent or otherwise), even if Slar-International retained Freelancer on an intermittent and/or a part-time basis. The provisions of Sections 1, 2, and 4 shall survive the termination of this Agreement for any reason. 4. Confidentiality. Freelancer acknowledges that he/she may be furnished or may otherwise receive or have access to information which relates to Slar-International's past, present or future products, vendor lists, creative works, marketing strategies, pending projects and proposals, and other proprietary information which gives Slar-International an opportunity to acquire an advantage over its competitors who do not know or use it (the "Proprietary Information"). Freelancer agrees to preserve and protect the confidentiality of the Proprietary Information and all physical forms thereof, whether disclosed to Freelancer before this Agreement is signed or afterward. In addition, Freelancer shall not disclose or disseminate the Proprietary Information to any third party and shall not use the Proprietary Information for his or her own benefit or for the benefit of any third party. Without limiting the generality of the foregoing, Freelancer shall be prohibited from discussing Slar-International or the Work with a representative of the press or media, either directly or indirectly, without Slar-International's express prior written approval. 5. General Provisions 5.1 Freelancer is responsible for the payment of all federal, state and /or local taxes with respect to the services he or she performs for Slar-International as an independent contractor. Slar-International will not treat Freelancer as an employee for any purpose. 5.2 No modification to this Agreement shall be binding unless made in writing and signed by the parties hereto. 5.3 To the extent that any provisions, portion or extent of this Agreement is found invalid, illegal or unenforceable, then that provision, portion or extent shall be severed or deleted herefrom or limited so as to give effect to the intent of the parties insofar as possible and that the remainder of the Agreement shall remain binding upon the parties. 5.4 Unless otherwise agreed, this Agreement shall apply to all Work and deliverables created by Freelancer for Slar- International. 5.5 The law of the State of Quebec without giving effect to principles of conflicts of law shall govern this Agreement. Any claim for a violation of this Agreement shall be brought in and Quebec federal or Quebec province court and the parties hereby irrevocably consent to the jurisdiction of those courts. Attorney's fees in any legal action shall be awarded to the prevailing party. IN WITNESS WHEREOF, the parties hereto have executed this Agreement as of the date first set forth above.
